**Who we are:** WeWeed CIC (“WeWeed”, “we”, “us”, “our”).
1. Definitions
- Partner / National Advertiser: A business or organisation that advertises nationally
through WeWeed by displaying its logo on the WeWeed website and/or associated
promotional materials.
- Advertising Placement: The display of Partner logos (linked to the Partner’s website) on
the WeWeed Home Page and/or Find a Gardener page.
- Plan: The monthly advertising plan chosen by the Partner.
- Stripe: The third-party payment processor used to collect subscription payments via direct
debit.
- VAT: Value Added Tax charged at the prevailing rate when WeWeed becomes VAT
registered.
## 2. Advertising Options & Pricing
- Up to five (5) static logo placements are available per page (Home Page and Find a
Gardener page).
- Pricing as of time and date of agreement:
- £50 per month for one page (Home Page or Find a Gardener page)
- Prices are exclusive of VAT. VAT at 20% will be added once WeWeed reaches the VAT
registration threshold.
- Rates may be adjusted after 12 months of advertising or at WeWeed’s discretion, with
prior written notice.
## 3. Payment & Billing
- Payment is collected monthly in advance via direct debit through GoCardless.
- Partners authorise WeWeed to store and process payment details for recurring billing.
- If a payment fails, WeWeed may suspend the advertisement until payment is made.
- Payments already taken are non-refundable.
## 4. Duration & Cancellation
- Advertising runs on a monthly subscription basis and continues until cancelled.
- Partners may cancel at any time via account settings or by contacting WeWeed.
- Cancellation takes effect at the end of the current paid billing period.
- Payments already collected are not refunded, except as required by law.
## 5. Advertising Placement & Content
- Partner logos (and linked URLs) appear on the selected page(s).
- Logos will be static and shared equally with up to four other partners per page.
- Placement order may be rotated or adjusted at WeWeed’s discretion.
- Partners must provide a high-resolution logo, website URL, and confirmation of rights to
use submitted materials.
- WeWeed may remove content inconsistent with its values or community purpose.
## 6. Marketing & Promotion
- Partners will be featured in at least four (4) WeWeed social media posts per year (pro-rata
for shorter terms).
- WeWeed may cross-post or share Partner content where relevant.
- Partner logos and relevant products may be displayed at events where WeWeed exhibits.
- Partners are encouraged to offer discounts or benefits to WeWeed Supporting Members.
## 7. Statistics & Reporting
- Page view and placement statistics are available upon request, subject to availability and
system limitations.
## 8. Changes, Suspension & Termination
- WeWeed may modify, suspend, or discontinue advertising where necessary for
operational or legal reasons.
- Reasonable notice will be given for material changes.
- WeWeed may terminate a Partner’s placement if fees are unpaid, terms are breached, or
content is inappropriate.
## 9. Intellectual Property
- Partner retains ownership of its trademarks and logos.
- Partner grants WeWeed a non-exclusive, royalty-free licence to display and promote its
logo, link, and materials across WeWeed platforms.
- WeWeed’s trademarks and brand assets remain the property of WeWeed CIC.
## 10. VAT & Taxes
- Prices exclude VAT.
- VAT at 20% will be added once WeWeed is VAT-registered.
- WeWeed will notify Partners when VAT is introduced and reflected in invoices.
## 11. Liability & Disclaimers
- The WeWeed website is provided on an “as is” and “as available” basis.
- No guarantee is given for traffic, clicks, or conversions.
- WeWeed is not liable for indirect or consequential losses, downtime, or errors beyond its
control.
- Nothing limits liability for fraud, negligence, or legal exceptions.
## 12. Indemnity
Partners agree to indemnify WeWeed for any claims, losses, or damages arising from their
content, breach, or legal non-compliance.
## 13. Data Protection
- Personal and business data are processed under UK data protection law and WeWeed’s
Privacy Policy.
- Partners must ensure compliance with privacy and marketing laws for any shared
material.
## 14. Governing Law
These Terms are governed by the laws of England and Wales. Disputes fall under the
exclusive jurisdiction of the courts of England and Wales.
